  1. Software License Agreement
  2.  
  3. 1. Grant Of Limited License; Software Use Restrictions. In 
  4. consideration for your acceptance of the terms and conditions of this 
  5. Agreement, SGI will grant to you a personal, non-transferable and 
  6. non-exclusive right to use and execute the Software on a 
  7. personal computer (a "PC"), without right to sublicense or distribute
  8. the Software (except as provided in Section 3 below).  You agree that 
  9. you will not modify, reverse engineer, decompile or disassemble any 
  10. portion of the Software.

  12. 2. Duplication Restrictions. In order to effect your license 
  13. rights hereunder, you may install the Software by duplicating it onto 
  14. the hard disk drive or into the CPU memory of a PC for use thereon, and 
  15. you may make full or partial copies of the Software, but only as 
  16. necessary for backup or archival purposes or for purposes of 
  17. distribution pursuant to Section 3 below. You agree that (i) your use 
  18. and possession of such copies shall be solely under the terms and 
  19. conditions of this Agreement, and (ii) you shall place the same 
  20. proprietary and copyright notices and legends on all such copies as 
  21. included by SGI on any media containing an authorized copy of the 
  22. Software originally provided by SGI.

  24. 3. Distribution of the Software to Others. You may duplicate and 
  25. distribute copies of the Software to others, or allow copies of the 
  26. Software to be made by someone else, provided that all such copies 
  27. include a copy of this License Agreement.

  29. 4. Ownership of Software. You agree and acknowledge that SGI 
  30. transfers no ownership interest in the Software, in the intellectual 
  31. property in any Software or in any Software copy, to you under this 
  32. Agreement or otherwise, and that SGI and its licensors reserve all 
  33. rights not expressly granted to you hereunder.

  35. 5. Transfer Restrictions. This license is personal to you. 
  36. Except as expressly provided in Section 3 above, you may not transfer 
  37. the Software and/or assign this License to any third party. If you 
  38. attempt to transfer or assign this License, such transfer or assignment 
  39. will be void and without effect.

  41. 6. Export Restrictions. You may not export or reexport any 
  42. Software or other technology received under this Agreement except in 
  43. full compliance with all United States and other applicable laws and 
  44. regulations. In particular, none of such Software or technology may be 
  45. exported or reexported into (or to a national or resident of) any 
  46. country to which the U.S. embargoes goods, or to anyone on the U.S. 
  47. Treasury Department's list of Specially Designated Nationals or the 
  48. U.S. Commerce Department's Table of Denial Orders.

  50. 7. Term; Termination. The term of this Agreement shall commence 
  51. when you electronically download or receive (if SGI delivers the 
  52. Software to you by email or alternative means) and shall continue 
  53. thereafter. If you fail to fulfill any of your material obligations 
  54. under this Agreement, SGI and/or its licensors may pursue all available 
  55. legal remedies to enforce this Agreement, and SGI may, at any time 
  56. after your default of this Agreement, terminate this Agreement and all 
  57. licenses and rights granted to you under this Agreement. You agree that 
  58. SGI's licensors referenced in the Software are third-party 
  59. beneficiaries of this Agreement, and may enforce this Agreement as it 
  60. relates to their intellectual property. You further agree that, if SGI 
  61. terminates this Agreement for your default, you will, within thirty 
  62. (30) days after any such termination, deliver to SGI or render unusable 
  63. all Software originally provided to you hereunder and any copies 
  64. thereof embodied in any medium.

  66. 8. Governing Law. This Agreement shall be governed by and 
  67. interpreted in accordance with the laws of the State of California, 
  68. excluding its choice of law rules.
  69.  
  70. U. S. GOVERNMENT USERS. If the Software is acquired by or on 
  71. behalf of an entity of government of the United States of America, the 
  72. following provision applies: U. S. GOVERNMENT RESTRICTED RIGHTS LEGEND 
  73. Use, duplication or disclosure of Software by the Government is subject 
  74. to restrictions as set forth in FAR 52.227-19(c)(2) or subparagraph 
  75. (c)(1)(ii) of the Rights in Technical Data and Computer Software clause 
  76. at DFARS 252.227-7013 and/or in similar or successor clauses in the 
  77. FAR, or the DOD or NASA FAR Supplement. Unpublished- rights reserved 
  78. under the Copyright Laws of the United States. Contractor/manufacturer 
  79. is SILICON GRAPHICS, INC., 2011 N. Shoreline Blvd., Mountain View, CA 
  80. 94039- 7311.

  82. 9. Disclaimer Of Software Warranty. SGI PROVIDES 
  83. THE SOFTWARE TO YOU "AS IS" AND WITHOUT WARRANTY OF 
  84. ANY KIND, EXPRESS, STATUTORY, IMPLIED OR OTHERWISE, 
  85. INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, 
  86. FITNESS FOR A PARTICULAR PURPOSE OR INFRINGEMENT. NO 
  87. ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN TO YOU BY 
  88. ANY SGI EMPLOYEE, REPRESENTATIVE OR DISTRIBUTOR WILL 
  89. CREATE A WARRANTY FOR THE SOFTWARE, AND YOU MAY NOT 
  90. RELY ON ANY SUCH INFORMATION OR ADVICE.

  92. 10. Limitation Of Liability. IN NO EVENT SHALL SGI 
  93. OR IT LICENSORS BE LIABLE TO YOU FOR ANY SPECIAL, 
  94. CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES OF 
  95. ANY KIND (INCLUDING WITHOUT LIMITATION THE COST OF 
  96. COVER, DAMAGES ARISING FROM LOSS OF DATA, USE, 
  97. PROFITS OR GOODWILL, OR PROPERTY DAMAGE), WHETHER 
  98. OR NOT SGI HAS BEEN ADVISED OF THE POSSIBILITY OF 
  99. SUCH LOSS, HOWEVER CAUSED AND ON ANY THEORY OF 
  100. LIABILITY ARISING OUT OF THIS AGREEMENT. THESE 
  101. LIMITATIONS SHALL APPLY NOTWITHSTANDING THE 
  102. FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
